Welcome to Paiso. These Terms of Service (the “Terms”) are a binding agreement between you and Artificial Systems LLC, a Texas limited liability company, doing business as Paiso (“Paiso,” “we,” “us,” or “our”). They govern your use of paisoapp.com, the Paiso application at app.paisoapp.com, and related services (together, the “Service”).
Please read section 15 carefully. It requires most disputes between you and Paiso to be resolved through individual binding arbitration rather than in court, and it waives your right to take part in a class action. You can opt out of arbitration within 30 days, as explained in that section.
1. Accepting these Terms
By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility and your account
- Age and location. You must be at least 18 years old and able to form a binding contract to use Paiso. The Service is intended for individuals in the United States managing their own and their household’s personal finances.
- Personal use. Paiso is for your personal, non-commercial use. You may not use it to provide paid financial, tax, or advisory services to others unless we agree otherwise in writing.
- Accurate information. Keep your account information, including your email address, accurate and up to date.
- Security. You are responsible for keeping your password, authenticator app, and recovery codes safe and for everything that happens under your account. We strongly recommend turning on two-factor authentication. Tell us right away at security@paisoapp.com if you suspect unauthorized access.
- One person per account. Do not share your login or let others use your account.
- Household information. If you add information about other people, such as a spouse, children, or other dependents, you confirm that you have the right to provide it and to have Paiso use it for your planning.
3. What Paiso does
Paiso is a personal-finance organization and planning tool. Depending on your plan, it helps you track accounts, transactions, and budgets; follow investments, stock options, and other investment and savings accounts; estimate taxes; and model retirement and other life plans. Some features require a paid plan, and some are available only to certain users while we test them.
We are constantly improving Paiso. We may add, change, or remove features, and we may change which features are included in each plan. If we remove a feature that is central to a paid plan you have already paid for, we will give you reasonable notice. If you are no longer satisfied, you can cancel as described in section 5.
4. Important: Paiso is not financial, investment, tax, or legal advice
Paiso provides information and tools for educational and organizational purposes only. Nothing in the Service is a recommendation or offer to buy, sell, or hold any security or financial product, or to adopt any investment, tax, or financial strategy.
- We are not your adviser. Paiso is not a registered investment adviser, broker-dealer, financial planner, accountant, tax preparer, or law firm, and using the Service does not create a fiduciary or advisory relationship with anyone.
- Tax tools are estimates. Tax estimates, safe-harbor checks, estimated-payment and withholding figures, holding-period and tax-loss suggestions, and sale-tax estimates are simplified approximations based on the information you enter and on general rules. Unless we clearly say otherwise, they cover U.S. federal income tax only and may not reflect your full situation, state or local taxes, or recent changes in law. Do not use them to file a tax return or to make tax payments without checking with a qualified tax professional.
- Projections are hypothetical. Retirement projections, Monte Carlo simulations, “chance of success” figures, safe-withdrawal-rate indicators, and life-plan scenarios are hypothetical illustrations. They depend on assumptions about returns, inflation, taxes, income, spending, and life events that will almost certainly differ from what actually happens. They are not guarantees or predictions of future results. Past performance does not guarantee future results.
- Benchmarks and suggestions are general. Budget benchmarks, suggested allocations, fee comparisons, and planning suggestions are general rules of thumb, not advice tailored to you.
- Data may be incomplete or delayed. Balances, transactions, prices, fund data, property values, and logos come from you and from third parties such as Plaid, financial institutions, Yahoo Finance, Vanguard, and Zillow. That data may be delayed, incomplete, or inaccurate, and we do not independently verify it. Always rely on official statements from your financial institutions.
You are solely responsible for your financial, investment, and tax decisions. Before acting, consider consulting a licensed professional who knows your full circumstances.
5. Plans, billing, and cancellation
- Plans. Paiso may offer free and paid plans. The features and price of each plan are shown on our pricing page and at checkout.
- Payment. Paid plans are billed in advance, monthly or yearly, through our payment processor, Stripe. By subscribing, you authorize us (through Stripe) to charge your payment method for the plan you choose, plus any applicable taxes.
- Automatic renewal. Your subscription renews automatically at the end of each billing period at the then-current price until you cancel. We will show the renewal date in Settings → Billing.
- Free trials and promotions. We may offer free trials, discounts, or promotional codes, each subject to the terms shown when you redeem it. Unless those terms say otherwise, when a trial ends your paid subscription begins and you will be charged unless you cancel before the trial ends. Each person may redeem a given trial or promotion only once, and promotions have no cash value.
- Price changes. We may change prices. We will notify you at least 30 days before a price increase applies to your subscription, and the new price will take effect at your next renewal. If you do not agree, cancel before then.
- Cancellation. You can cancel at any time in Settings → Billing. Cancellation stops future renewals. You keep access to paid features until the end of the billing period you have already paid for.
- No refunds. Payments are non-refundable, and we do not provide refunds or credits for partial billing periods, unused features, or downgrades, except where required by law.
- Failed payments. If a payment fails, we or Stripe may retry it. If it still cannot be collected, we may downgrade or suspend your paid features until the balance is paid.
- Deleting your account cancels your subscription. Deleting your account in Settings cancels any active subscription. Consistent with the no-refunds term above, we do not refund the remainder of a period you have already paid for.
6. Linked accounts and Plaid
You can choose to connect financial accounts through our partner Plaid Inc. By doing so:
- you authorize Paiso and Plaid to access, retrieve, and store information from the accounts you select, on your behalf, for the purpose of providing the Service;
- you confirm you are authorized to access those accounts; and
- you agree to Plaid’s handling of your information under the Plaid End User Privacy Policy.
Paiso’s access to linked accounts is read-only. Paiso does not move money, make payments, or initiate transfers. Connections can break, be delayed, or return incomplete data for reasons outside our control, such as changes at your institution. You can disconnect an account at any time.
7. Your content
“Your Content” means the information, files, and data you enter, upload, import, or connect to Paiso.
- You own Your Content. We do not claim ownership of it.
- Our limited license. You grant Paiso a non-exclusive, worldwide, royalty-free license to host, store, copy, process, and display Your Content only as needed to provide, secure, and support the Service for you and as described in our Privacy Policy. This license ends when Your Content is deleted from our systems, except as described in the Privacy Policy.
- Your responsibility. You are responsible for Your Content and confirm that you have the rights needed to provide it and that it does not violate the law or anyone’s rights.
- Getting a copy, and deletion. You can delete your account at any time from Settings, and you can ask us for a copy of Your Content at any time. Deletion is permanent: we are not responsible for keeping copies of Your Content afterwards, so ask for a copy before you delete anything you want to keep.
8. Acceptable use
You agree not to:
- use the Service for anything illegal, fraudulent, or harmful, or to store information you have no right to hold;
- access or try to access another person’s account or data;
- probe, scan, or test the vulnerability of the Service, or bypass security or rate limits, except as allowed by our responsible-disclosure policy on the Trust & Security page;
- scrape, crawl, or use bots or other automated tools to access the Service, except through features we provide for that purpose;
- copy, modify, reverse engineer, decompile, or create derivative works of the Service, except where the law expressly permits it;
- resell, sublicense, or commercially exploit the Service, or use it to build a competing product;
- upload malware, or interfere with or overload the Service; or
- impersonate anyone or misrepresent your affiliation with anyone.
9. Our intellectual property
The Service, including its software, design, text, graphics, logos, and the Paiso name and leaf mark, is owned by Paiso or its licensors and protected by intellectual-property laws. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. All rights not expressly granted are reserved.
Feedback. If you send us ideas or suggestions, you allow us to use them without restriction or compensation to you.
10. Third-party services
The Service relies on or links to third-party services, including Plaid, Stripe, Google, Apple, LinkedIn, and data providers. Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services, their availability, or the accuracy of data they provide.
11. Beta and early-access features
We may offer features labeled beta, preview, early access, or similar, or make features available only to some users. Those features may be incomplete, may contain errors, may change, and may be discontinued at any time. You use them at your own risk.
12. Suspension and termination
- By you. You may stop using Paiso at any time and delete your account from Settings. Cancel any paid subscription first (see section 5).
- By us. We may suspend or terminate your access, with or without notice, if you violate these Terms, if your use creates security, legal, or financial risk for Paiso or others, if required by law, or if we discontinue the Service. Where reasonable, we will give you notice and a chance to export Your Content. If we discontinue the Service entirely for reasons other than your breach, we will refund any prepaid fees for the unused portion of your billing period.
- What survives. Sections 4, 7 (as to our rights to handle deletion), 9, 10, and 13 through 17 survive termination, along with any other terms that by their nature should survive.
13. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE Do not WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DATA WILL BE ACCURATE, COMPLETE, OR CURRENT, OR THAT CALCULATIONS, ESTIMATES, OR PROJECTIONS WILL BE CORRECT. SOME JURISDICTIONS Do not ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
14. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW:
- PAISO AND ITS OWNERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, INVESTMENT LOSSES, TAX PENALTIES OR INTEREST, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND
- OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID PAISO IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $100.
These limits apply regardless of the legal theory and even if a remedy fails of its essential purpose. Some jurisdictions do not allow these limitations, so they may not fully apply to you.
15. Dispute resolution and binding arbitration
Please read this section carefully. It affects your legal rights.
- Talk to us first. Before filing a claim, you agree to email legal@paisoapp.com with a description of the dispute and the relief you are seeking, and to try in good faith to resolve it informally for at least 60 days. We agree to do the same before filing a claim against you.
- Arbitration. If we cannot resolve the dispute informally, you and Paiso agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by final and binding individual arbitration, not in court. This includes disputes about the scope or enforceability of this section. The arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, before a single arbitrator. It may be conducted by video, by phone, or based on written submissions, or in person in the county where you live. Payment of filing and arbitrator fees will be governed by the AAA’s rules. The arbitrator may award the same individual relief a court could, but only to the individual party seeking relief.
- Exceptions. Either party may (a) bring an individual claim in small-claims court if it qualifies and remains there, and (b) seek an injunction in court to stop infringement or misuse of intellectual property or unauthorized access to the Service.
- Class action waiver. You and Paiso may bring claims against each other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not combine more than one person’s claims. If this class-action waiver is found unenforceable for a particular claim, that claim (and only that claim) will be decided by a court, not an arbitrator, after all individual arbitrable claims are resolved.
- Jury trial waiver. To the extent a claim goes to court rather than arbitration, you and Paiso waive any right to a jury trial.
- 30-day opt-out. You can opt out of this arbitration agreement by emailing legal@paisoapp.com from the email address on your account, with the subject line “Arbitration Opt-Out,” within 30 days after you first accept these Terms. Opting out will not affect any other part of these Terms.
- Changes to this section. If we make a material change to this section, it will not apply to a dispute you have already notified us of, and you may reject the change by emailing us within 30 days after it takes effect.
16. Governing law and venue
These Terms are governed by the laws of the State of Texas and applicable U.S. federal law, including the Federal Arbitration Act, without regard to conflict-of-laws rules. For any claim not subject to arbitration, you and Paiso agree to the exclusive jurisdiction of the state and federal courts located in Denton County, Texas.
17. General
- Indemnity. You agree to defend, indemnify, and hold harmless Paiso and its owners, employees, and suppliers from any third-party claims, damages, and costs (including reasonable attorneys’ fees) arising from your misuse of the Service, Your Content, or your violation of these Terms or the law.
- Changes to these Terms. We may update these Terms from time to time. If a change is material, we will notify you by email or through the Service at least 30 days before it takes effect, except where a change is required by law or addresses security, in which case it may take effect sooner. Continuing to use the Service after changes take effect means you accept them. If you do not agree, stop using the Service and delete your account.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including outages at internet, hosting, or third-party providers, natural disasters, and government actions.
- Assignment. You may not transfer these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Severability and waiver. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it.
- Entire agreement. These Terms, together with the Privacy Policy and any terms shown for specific offers, are the entire agreement between you and Paiso about the Service.
- Electronic communications. You agree that we may send you notices and agreements electronically, and that they satisfy any requirement that they be in writing.
- Notice to California residents. Under California Civil Code §1789.3, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs, 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by phone at (800) 952-5210.
